Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Flourish platform (“Platform”) operated by Flourishing World Ltd (“we”, “us”, “our”).By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

• Account means your registered user profile to access the Platform.
• Services means the features, tools, and services provided through the Platform.
• User Content means any content or materials you upload or submit to the Platform.

2. Eligibility

You must be at least 18 years old and authorised to act on behalf of the entity you represent to use the Platform.

You warrant that any registration information you submit is accurate and up to date.

3. Account Registration

You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

You must promptly notify us of any unauthorised access or security breach.

4. Use of the Platform

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes only.

You agree not to:

• Reverse engineer, decompile, or attempt to derive the Platform’s source code.
• Use the Platform to develop competing products or services.
• Use the Platform in violation of applicable laws or regulations.

We reserve the right to suspend or terminate your access if you breach these Terms.

5. User Content

You retain ownership of your User Content but grant us a limited licence to use, store, copy, and process it solely to provide and improve the Platform.

You represent and warrant that:

• You have all necessary rights to upload the User Content.
• Your User Content does not violate any applicable laws or third-party rights.

We reserve the right (but not the obligation) to remove any User Content that violates these Terms.

6. Subscription and Payment

Access to certain features of the Platform may require a paid subscription.

• Subscription fees are set out at the time of purchase and are payable in advance.
• Fees are non-refundable except as required by law or explicitly stated in a separate written agreement.
• We may suspend or terminate your access for failure to pay applicable fees.

7. Service Availability and Support

We aim to provide high service availability but do not guarantee uninterrupted access.

We may modify, suspend, or discontinue parts of the Platform at our discretion, provided that such changes do not materially degrade the core functionality without prior notice.

Support services are available during standard business hours via email at support@flourishingworld.com.

8. Intellectual Property

The Platform and all associated intellectual property (excluding User Content) are owned by Flourishing World Ltd or our licensors.

You may not use our trademarks, branding, or content without prior written permission.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the term of the relationship.

This obligation continues for three (3) years after termination of these Terms.

10. Warranties and Disclaimers

The Platform is provided “as is” and “as available” without any warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee:

• The Platform will meet your specific needs.
• The Platform will be free from errors or uninterrupted.
• The accuracy or reliability of any results obtained from use.

11. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability to you for any claims arising out of or related to these Terms shall not exceed the amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability for death or personal injury caused by negligence or for fraud.

12. Termination

You may terminate your account at any time by contacting us.

We may suspend or terminate your access immediately if you breach these Terms.

Upon termination:

• Your right to use the Platform ceases immediately.
• We may delete your User Content after a reasonable period unless otherwise agreed.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to the Terms

We may amend these Terms from time to time. Material changes will be notified via email or Platform notification.

Your continued use of the Platform after changes take effect constitutes acceptance of the new Terms.
